Delaware’s General Assembly enacted new business laws affecting corporations, LLC and alternative entities. The amendments were signed into law by Gov. Jack Markell earlier this month.
The changes to Delaware’s General Corporation Law address mergers, new limitations on appraisal rights, and expanded jurisdiction of the Delaware Court of Chancery. Changes to the State’s alternative entities statutes address the default rule that actions of the members, managers, or partners require a written vote. The change will allow approvals or consents to be provided by any means permitted by law. The amendments become effective on August 1, 2016.
